TERMS OF SERVICE

1. Acceptance of Terms
By accessing or using the EQ Workforce website located at www.eqworkforce.com (the "Site") or any services offered through the Site (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site or Services.
EQ Workforce ("we," "us," or "our") reserves the right to modify these Terms at any time. We will notify users of material changes by updating the "Last Updated" date above. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms.
2. Description of Services
EQ Workforce is a subscription-based talent sourcing and retention platform connecting Texas healthcare organizations with licensed nursing and healthtech professionals. Our Services are offered to two categories of users:
- Healthcare Employers: Texas-based hospitals and healthcare organizations that subscribe to EQ Workforce's talent sourcing and retention services.
- Healthcare Professionals: Licensed nursing and healthtech professionals who join the EQ Workforce talent network to receive information about work environments and matched role opportunities at partner organizations.
EQ Workforce is not a staffing agency. We do not place temporary workers, charge placement fees, or earn commissions on hires. We operate on a flat-fee subscription model for employer partners.
3. Employer Terms
3.1 Subscription Services
Employer subscriptions are offered on a monthly or annual basis at the rates published on the Site at the time of enrollment. Subscription fees are flat-rate and are not contingent on the number of candidates delivered or hires made.
3.2 Payment
All subscription fees are due in advance of the service period. Failure to remit payment may result in suspension or termination of Services.
3.3 Use of Candidate Information
Candidate information provided through EQ Workforce's Services may only be used for internal recruiting purposes. Employers may not share, sell, transfer, or otherwise distribute candidate information to third parties. Employers may not contact candidates through channels other than those facilitated by EQ Workforce without the candidate's explicit consent.
3.4 Direct Hiring
Employers hire candidates directly. EQ Workforce is not a party to any employment agreement between an employer and a candidate introduced through the platform.
3.5 No Guarantee of Results
EQ Workforce does not guarantee that any subscription will result in a hire. We commit to active sourcing and candidate delivery as described in the applicable service agreement but cannot guarantee candidate acceptance of any offer.
4. Professional Network Member Terms
4.1 Eligibility
To join the EQ Workforce talent network, you must hold an active Texas nursing license, an NLC compact multistate license, or be a healthtech or clinical operations professional eligible to work in Texas.
4.2 Accuracy of Information
By submitting a profile, you represent that all information provided is accurate, complete, and current. You agree to update your profile promptly if your information changes.
4.3 Consent to Contact
By joining the EQ Workforce network, you consent to be contacted by EQ Workforce regarding your profile, matched opportunities, and network communications including our bimonthly newsletter. EQ Workforce will not share your information with any employer without your prior explicit consent.
4.4 Voluntary Participation
Participation in the EQ Workforce talent network is entirely voluntary. You may request removal from the network at any time by contacting us at the email address provided on the Site. There is no obligation to accept any opportunity presented.
4.5 No Employment Guarantee
Joining the EQ Workforce talent network does not guarantee employment or a job introduction. EQ Workforce makes introductions based on available roles at partner organizations and profile alignment. The availability of matched roles depends on active employer partnerships at any given time.
5. Prohibited Conduct
You agree not to:
- Use the Site or Services for any unlawful purpose
- Submit false, misleading, or fraudulent information
- Attempt to access any portion of the Site or Services for which you are not authorized
- Interfere with or disrupt the operation of the Site or Services
- Use automated tools to scrape, crawl, or extract data from the Site without written permission
- Use candidate or employer information obtained through the Services for any purpose other than its intended use
6. Intellectual Property
All content on the Site — including text, graphics, logos, and design — is the property of EQ Workforce and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on the Site without our prior written permission.
7. Disclaimer of Warranties
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. EQ WORKFORCE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SITE AND SERVICES IS AT YOUR SOLE RISK.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EQ WORKFORCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF EQ WORKFORCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL EQ WORKFORCE'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU TO EQ WORKFORCE IN THE THREE MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify and hold harmless EQ Workforce and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site or Services, your violation of these Terms, or your violation of any rights of another party.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.
11. Termination
EQ Workforce reserves the right to suspend or terminate your access to the Site or Services at any time, with or without notice, for any reason including violation of these Terms.
